(hereinafter the “seller”)
and the buyer in the sale of goods through the online store operated on the website www.lounge4padel.com (hereinafter the “online store”).
- The subject of sale is sportswear, footwear and sports equipment.
- These Terms form an integral part of every purchase contract concluded between the seller and the buyer through the online store. The rights and obligations of the contracting parties are governed by the version of the Terms in effect at the time the buyer sends the order.
- The following form an integral part of these Terms:
- Annex No. 1 — Consumer information and instructions on exercising the consumer’s right to withdraw from the contract,
- Annex No. 2 — Complaints Policy,
- Annex No. 3 — Withdrawal form,
- Annex No. 4 — Complaint form,
- Annex No. 5 — Privacy Policy.
- Legal relations not governed by these Terms are governed in particular by Act No. 40/1964 Coll., the Civil Code (hereinafter the “Civil Code”), Act No. 513/1991 Coll., the Commercial Code (hereinafter the “Commercial Code”), Act No. 108/2024 Coll. on Consumer Protection (hereinafter the “Consumer Protection Act”), Act No. 22/2004 Coll. on Electronic Commerce, Act No. 391/2015 Coll. on Alternative Dispute Resolution of Consumer Disputes, Regulation (EU) 2016/679 (GDPR) and Act No. 18/2018 Coll. on Personal Data Protection.
- The purchase contract is concluded in the Slovak language. The seller archives the concluded contract for the period required by law and provides the buyer with a copy upon request.
Art. II.
Definitions
- A consumer is a natural person who, when concluding and performing the contract, is not acting within the scope of their business activity or profession.
- A business customer is a person who is not a consumer, in particular a person registered in the commercial register or a person doing business on the basis of a trade licence or other authorisation, if acting within the scope of their business activity. A buyer who states their company ID (IČO) in the order is also considered a business customer.
- A buyer is a consumer or a business customer who concludes a purchase contract with the seller through the online store.
- Goods means all products offered by the seller through the online store.
- An electronic order means a submitted electronic form containing information about the buyer and the goods ordered.
- A durable medium means a means that allows information addressed to the consumer to be stored for a period appropriate to its purpose and in a way that allows its unchanged reproduction, in particular paper or e-mail.
Art. III.
Order and conclusion of the purchase contract
- The buyer orders goods through the electronic ordering system of the online store. The seller may also allow goods to be ordered by e-mail or by phone.
- The presentation of goods in the online store is not an offer to conclude a contract; the offer to conclude a contract is the buyer’s order.
- The buyer creates an order by placing goods in the shopping bag, choosing the delivery and payment method, entering identification and delivery details and sending the order. Until the order is sent, the buyer can change and check the contents of the shopping bag and the details entered, including identifying and correcting input errors.
- Before the order is sent, the seller clearly informs the buyer of the total price including all costs and fees.
- The button used to send the order is labelled with the words “order with obligation to pay”. By sending the order, the buyer confirms that they have read these Terms and their annexes and have been informed of the obligation to pay the price.
- After the order is sent, the seller electronically confirms without delay that the order has been received by the system; this confirmation in itself does not constitute acceptance of the order. The purchase contract is concluded when the seller’s confirmation of acceptance of the order is delivered to the buyer’s e-mail address. These Terms, including their annexes, are attached to the confirmation of acceptance of the order.
- For an order placed by e-mail, the contract is concluded when the confirmation of acceptance of the order is delivered to the buyer’s e-mail address. For an order placed by phone, the contract is concluded when the buyer’s consent to the content of the offer is delivered to the seller on a durable medium.
- The seller is entitled to verify the order by phone or e-mail before accepting it.
- The seller reserves the right not to accept an order, in particular if:
- there is an obvious error in the price or description of the goods (Article V. point 5 of these Terms),
- the goods are not available or cannot be delivered,
- the buyer has repeatedly failed to pay for or collect previous orders, or
- there is a reasonable suspicion of misuse of the ordering system, a discount code or payment details.
- The seller informs the buyer without delay if the order is not accepted. If the buyer has already paid the price or part of it, the seller refunds the payment received without undue delay, no later than within 14 days, in the same way it was received, unless the parties agree otherwise.
- The content of a concluded contract may only be changed by agreement of the contracting parties or under the conditions laid down by law or these Terms.
- Orders can be placed at any time. The seller is not liable for unavailability of the online store caused by an information system outage, a power outage or circumstances excluding liability.
Art. IV.
Customer account
- By registering and creating a customer account, a contract on maintaining a customer account is concluded between the buyer and the seller. The customer account is free of charge and the buyer may cancel it at any time. Goods can also be purchased without registration.
- The buyer must provide true and up-to-date information, protect their login details and not share them with third parties. The seller is not liable for misuse of login details resulting from their insufficient protection by the buyer.
Art. V.
Purchase price and discounts
- All prices stated in the online store are final prices including value added tax and all other taxes, unless stated otherwise.
- Shipping, delivery and postage costs are not included in the price of the goods; they are stated separately and the buyer is informed of them before completing the order.
- The seller reserves the right to change the prices of goods stated in the online store at any time. A price change does not affect purchase contracts concluded before it was made; the price stated for the goods at the time the order is sent is binding for the buyer.
- With every announcement of a price reduction, the seller states the previous price of the goods, which is the lowest price at which the seller sold the goods in the 30 days before the price reduction, or since the start of sale of the goods if the seller has sold them for less than 30 days. In the case of a gradual price reduction, the seller may state the price before the first reduction as the previous price. Promotional prices and discounts are valid for the indicated period or while stocks last, whichever occurs first.
- The seller takes reasonable care to ensure that the prices stated are correct. However, if there is an obvious error in the price, in particular if the price deviates significantly from the usual price of the goods or if a digit is missing or superfluous, the seller is not obliged to conclude the contract and is entitled to withdraw from the contract even after the order has been confirmed. The seller informs the buyer of this without delay and refunds the price or part of it already paid no later than 14 days from the day of withdrawal from the contract.
- Discount codes may only be used under the conditions stated for the specific discount code; unless stated otherwise, discount codes cannot be combined.
Art. VI.
Payment terms
- The buyer can pay the purchase price:
- by payment card via a payment gateway,
- by bank transfer to the seller’s account,
- cash on delivery, if offered by the seller,
- by another method stated in the online store.
- The available payment methods are stated in the online store and the buyer is informed of them no later than at the beginning of the ordering process.
- The seller does not charge the buyer fees for the use of a means of payment or other payment method that exceed the actual costs incurred by the seller for the payment.
- The seller issues the buyer a proof of purchase and delivers it, as a rule, by e-mail, no later than upon delivery of the goods. The buyer agrees to receive the proof of purchase in electronic form.
- If the purchase price is paid by cashless transfer, the buyer’s obligation to pay is fulfilled when the full purchase price is credited to the seller’s account.
- The seller refunds money to the buyer in the same way it was received from the buyer, unless the parties agree otherwise; the buyer is not charged any additional fees. If a refund in the same way is not possible, the buyer provides the seller with the details needed for the refund and is responsible for their accuracy.
Art. VII.
Delivery terms
- The seller delivers goods through contracted carriers. The available delivery methods, their conditions and prices are stated in the online store.
- The estimated delivery time is stated for individual products or in the order confirmation. If no delivery time has been agreed, the seller delivers the goods without undue delay, no later than 30 days from the day the contract was concluded.
- The seller is liable to the buyer for proper and timely delivery of the goods. If the buyer is a consumer, the risk of damage to the goods passes to the consumer only upon receipt of the goods; the seller’s liability to the consumer for delivery of the goods is not affected even if the delay or damage was caused by the carrier. The seller is not liable to a buyer who is a business customer for delay or damage caused solely by the carrier.
- If the seller does not deliver the goods within the agreed period or within an additional reasonable period, a buyer who is a consumer is entitled to proceed in accordance with the relevant legislation, including the right to withdraw from the contract.
- The buyer must allow delivery of the goods and take receipt of them. Together with the goods, the seller hands over to the buyer the documents relating to the goods.
- When receiving the parcel, the buyer is advised to check that it is intact and complete and to report any obvious damage to the packaging or incompleteness of the parcel to the carrier and the seller. Failure to follow this recommendation does not affect the consumer’s statutory rights arising from liability for defects.
- If the buyer does not collect the goods, the seller grants an additional reasonable period for collecting them. If the buyer does not collect the goods even within the additional period, the seller is entitled to withdraw from the contract; the seller’s right to reimbursement of actually incurred and proven costs is not affected.
Art. VIII.
Transfer of ownership and risk of damage
- Ownership of the goods passes to the buyer upon full payment of the purchase price.
- The risk of damage to the goods passes to the buyer when the goods are received by the buyer or a third party designated by the buyer, other than the carrier. The same consequence applies if the buyer fails to take receipt of the goods although the seller enabled the buyer to dispose of them.
- Damage to the goods occurring after the risk of damage has passed to the buyer does not affect the buyer’s obligation to pay the purchase price, unless the damage was caused by the seller breaching its obligation.
Art. IX.
Consumer’s withdrawal from a distance contract
- The consumer has the right to withdraw from a distance purchase contract without giving any reason within 14 days. The period starts on the day the goods are received by the consumer or a third party designated by the consumer, other than the carrier. If goods ordered in one order are delivered separately, the period starts when the last delivered goods are received; if goods consisting of several lots or pieces are delivered, when the last lot or piece is received.
- The consumer may also withdraw from the contract before the withdrawal period begins.
- If the seller has not fulfilled the information obligation regarding the consumer’s right to withdraw from the contract, the extended periods under Section 20(2) and (3) of the Consumer Protection Act apply.
- The consumer may exercise the right of withdrawal:
- via the withdrawal function available in the online store, labelled with the words “withdraw from the contract here”,
- on paper, by sending a notice of withdrawal to the seller’s address stated in Article I. of these Terms, or
- by e-mail to the seller’s address.
- The consumer may use the withdrawal form, which forms Annex No. 3 to these Terms; its use is not a condition for the validity of the withdrawal. Any clearly worded statement expressing the consumer’s wish to withdraw from the contract is sufficient.
- The withdrawal period is deemed to be met if the consumer sends the notice of withdrawal to the seller no later than on the last day of the period.
- Without delay after receiving the notice of withdrawal, the seller provides the consumer with confirmation of its receipt on a durable medium if the consumer withdrew from the contract using the function or form available in the online store.
- If the seller delivered several goods under one contract, the consumer may also withdraw from the contract in respect of a specific item only.
- The consumer must send back or hand over the goods to the seller no later than 14 days from the day of withdrawal from the contract; this does not apply if the seller offers to collect the goods itself or through a person designated by it. The period is met if the consumer sends the goods no later than on the last day of the period. The direct costs of returning the goods are borne by the consumer. We do not have a shop or a pick-up point, so please send the goods to our registered office by post or courier.
- The consumer is liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the characteristics and functioning of the goods. The consumer is advised to try the goods to the same extent as they could in a shop, i.e. to try on clothing and footwear without wearing them, over clean clothing and indoors. The amount of the diminished value is determined individually and demonstrably; the seller is entitled to set off compensation for the diminished value against the amount it must refund to the consumer.
- If the consumer received a gift or other benefit together with the goods in connection with the purchase, the consumer must return that benefit together with the goods.
- The seller must refund to the consumer all payments received from the consumer under or in connection with the contract within 14 days from the day the notice of withdrawal is received.
- The seller is not obliged to refund payments to the consumer before the goods are delivered to the seller or until the consumer proves that the goods have been sent back to the seller, whichever is earlier.
- Given the seller’s product range, the consumer cannot withdraw from a contract for:
- the supply of goods made to the consumer’s specifications or clearly personalised goods; this includes in particular goods with individual embroidery, print, name or club badge and goods altered to the consumer’s measurements,
- the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, if they were unsealed after delivery; this includes in particular mouth guards, groin protectors and other goods coming into direct contact with mucous membranes or intimate parts of the body,
- the supply of goods which, by their nature, are inseparably mixed with other items after delivery.
- Details are set out in Annex No. 1 to these Terms.
Art. X.
Withdrawal from the contract by the seller
- The seller is entitled to withdraw from the contract if:
- there is an obvious error in the price of the goods under Article V. point 5 of these Terms,
- the goods cannot be delivered for a reason not caused by the seller, in particular if the goods are no longer manufactured or if the seller’s supplier has cancelled the delivery, and the seller and the buyer have not agreed on substitute performance,
- the buyer has not collected the goods even within the additional reasonable period under Article VII. point 7 of these Terms, or
- the buyer is more than 14 days late in paying the purchase price, if payment in advance was agreed.
- The seller informs the buyer of the withdrawal from the contract without delay and refunds the purchase price or part of it already paid no later than 14 days from the day of withdrawal from the contract, in the same way it was received, unless the parties agree otherwise.
Art. XI.
Liability for defects
- The seller is liable to the buyer for defects in the goods to the extent laid down by the relevant legislation, in relation to the consumer in particular under Section 615 et seq. of the Civil Code.
- The seller is liable for defects that the goods have upon receipt by the buyer, for 24 months from delivery of the goods, unless a longer period is stated for specific goods. When selling used goods, the seller and the buyer may agree on a shorter liability period for defects, but not shorter than 12 months.
- A defect that arose from use and normal wear and tear that can reasonably be expected given the degree of previous use is not considered a defect of used goods.
- After the first removal of a defect by repair, the liability period for defects is extended by 12 months if the buyer is a consumer; the extension applies only once regardless of the number of repairs and covers the entire item.
- The buyer must notify the seller of a defect without undue delay after discovering it, no later than by the end of the liability period for defects, and state which of their rights under Section 623 et seq. of the Civil Code they are exercising.
- Without delay after a defect is notified, the seller provides the buyer with written confirmation of the notified defect stating the period within which the defect will be removed. This period may not be longer than 30 days from the day the defect was notified, unless a longer period is justified by an objective reason beyond the seller’s control.
- The buyer has the right to choose whether the defect is removed by repair or exchange of the item. Before removing the defect, the seller informs a buyer who is a consumer of the right to choose between repair and exchange of the item and of the extension of the liability period for defects under point 4 of this Article. The seller may refuse the chosen method of removing the defect and remove the defect in another way if the chosen method were impossible or would require disproportionate costs.
- If the seller does not remove the defect within the period under point 6 of this Article, refuses to remove the defect, if the item has the same defect even after repair or exchange, or if the defect is so serious that it justifies an immediate price discount or withdrawal from the contract, the buyer is entitled to a reasonable discount on the purchase price or to withdraw from the contract. The buyer may not withdraw from the contract for a minor defect or if the buyer contributed to the defect; the burden of proof in these cases lies with the seller.
- If the seller refuses liability for defects, the seller notifies the buyer of the reasons for refusal in writing.
- Details on exercising rights arising from liability for defects are set out in the Complaints Policy, which forms Annex No. 2 to these Terms.
Art. XII.
Safety notices
- The sports equipment sold is intended for sports purposes and its use may involve a risk of injury. The goods are intended for use under a reasonable training load, as a rule under the guidance or supervision of a qualified person.
- Protective equipment reduces the risk of injury but does not guarantee complete protection against injury.
- Before first use of the goods, the buyer must read the manufacturer’s instructions and safety guidelines, choose the correct size and check the goods before each use.
- The seller is not liable for damage caused by using the product contrary to the manufacturer’s instructions, improper use of the product, use of a damaged or worn product or unprofessional modifications to the product.
- The provisions of this Article do not affect the seller’s statutory liability for defects in goods, liability for damage caused by a defective product under special regulations or the seller’s liability for damage caused by breach of its obligations.
Art. XIII.
Special provisions for business customers
- The provisions of these Terms and of consumer protection legislation do not apply to a buyer who is a business customer, unless expressly stated otherwise in these Terms. A buyer who is a business customer does not have the right to withdraw from the contract under Article IX. of these Terms.
- Unless agreed otherwise, legal relations between the seller and a buyer who is a business customer relating to their business activity are governed by the Commercial Code.
- A buyer who is a business customer must inspect the goods without delay after receipt. Defects detectable during this inspection must be reported to the seller without undue delay, no later than within 3 working days of receipt of the goods. Other defects must be reported without undue delay after they could have been discovered with professional care, within the periods under Section 428 of the Commercial Code.
- The scope of the rights of a buyer who is a business customer arising from liability for defects is governed by Section 422 et seq. of the Commercial Code. The seller does not provide a buyer who is a business customer with a quality guarantee unless it is expressly stated for specific goods or in a warranty certificate.
- The seller and a buyer who is a business customer may agree on individual terms of business; such an agreement must be in writing and takes precedence over these Terms.
Art. XIV.
Complaints and alternative dispute resolution
- The buyer may submit a complaint or suggestion to the seller by e-mail or on paper to the address stated in Article I. of these Terms. The seller handles the complaint without undue delay and informs the buyer of the outcome.
- The consumer has the right to contact the seller with a request for redress if they are not satisfied with the way the seller handled their complaint or if they believe that the seller has violated their rights.
- If the seller responds negatively to the request under point 2 of this Article or does not respond within 30 days of it being sent, the consumer has the right to file a petition to initiate alternative dispute resolution under Act No. 391/2015 Coll. on Alternative Dispute Resolution of Consumer Disputes.
- The alternative dispute resolution body is the Slovak Trade Inspection, Central Inspectorate, Department for International Relations and Alternative Consumer Dispute Resolution, Bajkalská 21/A, P. O. Box 29, 827 99 Bratislava 27, Slovakia, www.soi.sk, or another authorised legal entity entered in the list of alternative dispute resolution bodies maintained by the Ministry of Economy of the Slovak Republic (www.mhsr.sk). The consumer has the right to choose the alternative dispute resolution body.
- In a cross-border dispute, the consumer may contact the European Consumer Centre in the Slovak Republic (www.esc-sr.sk).
- The supervisory authority is the Inspectorate of the Slovak Trade Inspection based in Bratislava for the Bratislava Region, Bajkalská 21/A, P. O. Box No. 5, 820 07 Bratislava, Slovakia, Supervision Department, e-mail: ba@soi.sk, phone: +421 2 58 27 21 72.
- The consumer’s rights under this Article do not affect their right to go to court.
Art. XV.
Personal data protection
- The seller processes the buyer’s personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 18/2018 Coll. on Personal Data Protection.
- Detailed information on the purposes, legal bases, scope, retention period and recipients of personal data, as well as on the rights of data subjects and the use of cookies, is set out in the Privacy Policy, which forms Annex No. 5 to these Terms.
Art. XVI.
Final provisions
- The seller reserves the right to unilaterally change and supplement these Terms and their annexes. A change to the Terms does not apply to purchase contracts concluded before the change took effect; such contracts are governed by the Terms in effect at the time the order was sent.
- If any provision of these Terms becomes invalid, ineffective or unenforceable, the validity of the other provisions is not affected.
- The provisions of these Terms do not apply to the extent that they would conflict with mandatory consumer protection legislation; in such a case, the relevant statutory provision applies.
- Legal relations under these Terms are governed by the law of the Slovak Republic and the courts of the Slovak Republic have jurisdiction to resolve disputes. This choice of law does not affect the protection afforded to the consumer by mandatory provisions of the law of the country of their habitual residence under Article 6 of Regulation (EC) No. 593/2008 (Rome I).
- The annexes listed in Article I. point 4 of these Terms form an integral part of these Terms.
- These Terms take effect on 13 August 2026 and replace the previous version of the Terms, including annexes. The Terms are published in the online store and the buyer can save and print them.
